Terms of Service

These Terms of Service govern your use of Alex, the decision-support system operated by The AI Shop Inc. By accessing or using the Service, you agree to be bound by them.

1. The Service

Alex is operated by The AI Shop Inc. (“Company,” “we,” “our,” or “us”), a company incorporated in the State of Delaware.

Alex is a decision-support system that provides analytical support, deliberation across functional perspectives, and institutional knowledge management for senior executives, board directors, and investment managers. Alex manifests as multiple executive personas (including but not limited to CFO, COO, CMO, Head of Legal, CHRO, and CIO) that analyse client data, deliberate on business decisions, and build shared institutional understanding.

The Service provides analytical support and insights only. It does not provide legal, financial, accounting, or other professional advice, and outputs should not be relied upon as a substitute for professional judgment.

You remain solely responsible for decisions made using or informed by the Service.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

4. Account Registration

To access the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5. Data, Confidentiality, and Privacy

We take the security and confidentiality of your data seriously. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We do not use client data to train, fine-tune, or improve our underlying AI models or any third-party AI models. Client data is processed in a logically isolated environment and is not commingled with data from other clients. Further details are set out in our Privacy Policy.

Institutional Memory

The Service builds and maintains an institutional knowledge layer derived from the data and documents you provide. This knowledge layer is specific to your account, isolated from other clients, and used solely to improve the quality and relevance of the Service’s outputs for your organisation.

The institutional knowledge layer is included in the data deletion process described in our Privacy Policy. Upon termination of your subscription, all derived knowledge and context models specific to your account will be deleted in accordance with our data retention policy.

6. AI-Generated Outputs

The Service generates outputs using artificial intelligence. While we strive for accuracy and relevance, AI-generated outputs may contain errors, omissions, or inaccuracies. You should independently verify any output before relying on it for decision-making.

The Service’s executive personas may draw upon insights validated by other personas within the Service. While this cross-referencing is designed to improve the quality and coherence of outputs, it does not constitute independent verification. All outputs remain AI-generated and subject to the limitations described in this section.

7. Intellectual Property

You retain all rights to the data and documents you submit to the Service. We do not claim ownership of your content.

The Service, including its design, features, and underlying technology, is the property of The AI Shop Inc. and is protected by intellectual property laws.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service’s infrastructure
  • Share your account credentials with third parties
  • Use the Service to generate misleading or harmful content

9. Fees and Commercial Terms

Access to the Service requires a paid subscription. Fees are as set out on our pricing page and may be updated from time to time with reasonable notice.

Access to the Service is governed by subscription tiers with defined monthly capacity allocations. Capacity does not roll over between billing periods. If you exceed your allocated capacity, additional capacity may be purchased or your access to new interactions may be paused until the next billing period, depending on your subscription tier. Details of current subscription tiers and pricing are available on our website.

Payments are processed through Stripe. By subscribing, you agree to Stripe’s terms of service in addition to these Terms.

10. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. Refunds are handled in accordance with our refund policy, available upon request.

11. Limitation of Liability

To the maximum extent permitted by law, The AI Shop Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

If you are located in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and the courts of the State of Delaware shall have exclusive jurisdiction.

If you are located in the United Kingdom, these Terms shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

If you are located in South Africa, these Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, and the courts of the Republic of South Africa shall have exclusive jurisdiction.

For all other jurisdictions, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, and the courts of the State of Delaware shall have exclusive jurisdiction.

Nothing in this section limits the application of mandatory consumer protection or data protection laws of your jurisdiction.
