These Terms of Service (“Terms”) govern your access to and use of Alex (the “Service”), operated by The AII Shop Inc. (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Service.
The Service
Alex is an AI-powered platform designed to support executive decision-making, governance, oversight, and strategic analysis.
The Service provides analytical support and insights only. It does not provide legal, financial, accounting, or other professional advice, and outputs should not be relied upon as a substitute for professional judgment.
You remain solely responsible for decisions made using or informed by the Service.
Eligibility and Authority
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent.
If you are using the Service on behalf of an organisation, these Terms apply to that organisation, and you represent that you are authorised to bind it.
Accounts and Access
You are responsible for:
Maintaining the confidentiality of login credentials
Restricting access to authorised users only
All activity conducted under your account
We may suspend or restrict access if we reasonably believe your account has been compromised, misused, or accessed without authorisation.
Acceptable Use
You agree to use the Service only for lawful and legitimate business purposes.
You must not:
Use the Service in violation of applicable laws or regulations
Attempt to reverse engineer, extract, or replicate the Service or its underlying models
Use the Service to generate unlawful, misleading, or harmful content
Interfere with or disrupt the integrity, security, or availability of the Service
Data, Confidentiality, and Privacy
You retain ownership of all data you submit to the Service.
We process data in accordance with our Privacy Policy, which forms part of these Terms by reference.
You represent that you have the right and authority to upload, process, and analyse any data provided to the Service, including any confidential or personal information.
While we implement reasonable administrative, technical, and organisational safeguards, you acknowledge that no system can be guaranteed to be completely secure.
AI-Generated Outputs
The Service uses machine-learning and AI techniques to generate outputs based on the inputs and context provided.
You acknowledge that:
AI-generated outputs may be incomplete, inaccurate, or context-dependent
Outputs are probabilistic and not deterministic
Human review and judgment are required before acting on outputs
We make no guarantees regarding the accuracy, completeness, or suitability of AI-generated outputs for any specific purpose.
Intellectual Property
All intellectual property rights in the Service — including software, models, workflows, interfaces, and branding — are owned by or licensed to us.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for internal business purposes.
You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted in writing.
Enterprise Deployment and Custom Agreements
Certain deployments, features, or usage scenarios may be governed by a separate written agreement (such as an enterprise, licence, or services agreement).
In the event of a conflict, the terms of the separate written agreement shall prevail.
Fees and Commercial Terms
Access to certain features may be subject to fees as agreed under a pricing plan or separate commercial agreement.
Unless otherwise stated in writing, fees are non-refundable.

We will not be liable for decisions made or actions taken based on use of the Service
Our total aggregate liability under these Terms shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.
Termination
We may suspend or terminate access to the Service if you breach these Terms or if required by law.
Upon termination, your right to access and use the Service will cease immediately.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of State of Delaware, United States, without regard to conflict of law principles.
